Purchase and Sale of Real Estate

We assist clients with each step of the purchase and sale process, from initial negotiation and drafting of the letter of intent to completion of post-closing items. We have broad experience with purchase and sale agreements, due diligence, title and survey review, conveyance documentation, and other closing matters.

Commercial Leasing and Management

We represent commercial landlords and tenants in the negotiation and drafting of leases, subleases, lease assignments, estoppel certificates, subordination, non-disturbance and attornment agreements, and other lease-related matters. We act as general outside counsel to the owners of a number of office parks and shopping centers, assisting them with day-to-day leasing and management matters. We also represent many businesses in connection with their leasing and facilities issues.

Real Estate Financing

Our lawyers represent both lenders and borrowers in connection with their commercial mortgage transactions, ranging from acquisition loans to construction loans to permanent loans. Our experience includes traditional bank loans, life insurance company loans, and securitized loans. We also assist our clients in structuring equity and debt-equity hybrid investments to finance their projects.

Zoning, Planning, and Entitlements

We have experience representing developers and property owners in connection with all types of development approvals, zoning, and other land use matters. We have a well-deserved reputation for our ability to obtain favorable entitlements from some of the most anti-development jurisdictions in Colorado. We also have broad experience with growth-control legislation and affordable housing measures that may affect development.

1031 Exchanges

We offer years of experience counseling clients on tax-exempt exchanges of real estate under Section 1031 of the Internal Revenue Code. In addition to handling dozens of routine 1031 exchanges, we have experience with reverse, title-holding, improvement, ground lease, and other sophisticated exchange transactions.
